Why Is Ripple Prime Raising More Capital?

Ripple has raised $275 million through an upsized private placement of senior unsecured notes as the crypto company puts more capital behind its expansion into institutional clearing, financing and prime brokerage services in the U.S.

The notes were issued by Ripple Prime, the company’s non-bank prime brokerage business. Proceeds will be used for working capital and general corporate purposes as Ripple builds out its multi-asset financial services operation.

The offering attracted institutional investors across financial markets, while Piper Sandler acted as lead placement agent. Ripple Prime President Noel Kimmel said the financing provides additional capital to invest in employees and technology as the business expands.

The deal is notable because Ripple is raising conventional corporate debt rather than relying on token issuance or crypto-native financing. That gives Ripple Prime another source of balance-sheet capital as it competes in a business where access to financing can determine how much leverage and liquidity a broker can provide to institutional clients.

What Does The BBB Rating Mean For Ripple Prime?

KBRA assigned the senior unsecured notes a BBB investment-grade rating, matching the issuer rating it previously gave Ripple Prime. The rating can broaden the pool of institutional investors able to consider the debt, including investors whose mandates limit exposure to below-investment-grade securities.

For a prime brokerage business, credit quality has additional importance. Clients rely on prime brokers for financing, clearing and access to markets, making confidence in the intermediary’s balance sheet an important part of the relationship.

Ripple Prime is trying to bridge traditional and digital markets rather than operate solely as a crypto trading business. Its services include multi-asset clearing, financing and prime brokerage, giving Ripple another route into institutional finance alongside its payments, custody and stablecoin businesses.

The financing also follows Ripple’s acquisition of Hidden Road for about $1.25 billion in 2025. The business was subsequently rebranded as Ripple Prime, and Ripple says its revenue has tripled year over year since the acquisition.

Investor Takeaway

The $275 million note offering matters less as a standalone fundraising event than as evidence of how much capital Ripple is putting behind institutional financial services. Prime brokerage requires balance-sheet capacity, and Ripple is building that capacity through debt as well as acquisitions and credit facilities.

How Does The Deal Fit With Ripple’s $200 Million Credit Facility?

The note sale follows a separate $200 million debt facility secured by Ripple Prime in May from funds managed by Neuberger Specialty Finance. That facility was designed to increase lending capacity and provide additional financing to institutional clients trading across traditional and digital markets.

The two transactions serve related but different purposes. The Neuberger facility gives Ripple Prime access to as much as $200 million to support client financing, while the new $275 million unsecured note offering provides capital for working capital and broader corporate needs within the regulated entity.

Together, they give Ripple Prime access to nearly half a billion dollars of additional financing capacity announced within a few months. That capital can support larger client relationships and help the brokerage compete with established financial intermediaries whose scale depends heavily on access to funding.

The structure also reduces Ripple Prime’s dependence on a single financing source. Diversifying between a dedicated credit facility and institutional bond investors can become more valuable as lending volumes increase and the business takes on larger counterparties.

Can Ripple Build A Larger Institutional Finance Business?

Ripple’s strategy increasingly extends beyond its original blockchain payments business. The company now operates across custody, liquidity, stablecoins, treasury services and institutional brokerage, with Ripple Prime providing a connection between conventional markets and digital assets.

The Hidden Road acquisition accelerated that expansion by giving Ripple an established prime brokerage platform rather than requiring it to build one from scratch. The latest financing indicates that Ripple is now investing additional capital into scaling the business after completing the acquisition and rebranding.

Competition will be demanding. Institutional clients expect reliable financing, deep liquidity, strong risk controls and the ability to clear multiple asset classes. Those requirements make prime brokerage more capital-intensive than many other crypto businesses and reward firms capable of maintaining large, dependable balance sheets.

The BBB rating and institutional participation in the note offering give Ripple Prime another way to finance that growth. The next test will be whether the additional capital translates into higher client activity and continued revenue growth as Ripple tries to turn its Hidden Road acquisition into a larger institutional financial services franchise.
