Is it too late to invest in Braze stock?

Braze (BRZE) shares exploded higher on October 20 after Salesforce (CRM) agreed to acquire the customer-engagement software company, handing existing investors a major windfall.

As investors cheered the announcement, BRZE ripped through its major moving averages (MAs), and its RSI climbed into the early 80s, indicating intense buying pressure.

Following the meteoric rally, Braze stock is trading at roughly 3x its price in late February.

What the Salesforce deal means for Braze stock

Salesforce’s proposed $5.66 billion deal values BRZE shares at $47.5 each, representing a 58.1% premium on its previous closing price.

The company expects this cash transaction to close in fiscal 2028 – subject to required approvals.

For Braze, the strategic attraction extends beyond the purchase price. Its platform helps consumer brands respond to customer behavior with personalized messages across digital channels.

Joining Salesforce Inc. could give that technology much broader distribution and greater resources for product development.

CEO Bill Magnuson indicated that Braze will continue building its platform with CRM’s backing.

That creates a plausible route to faster innovation and access to larger enterprise relationships.

However, those prospective operating benefits would accrue within Salesforce after completion; departing Braze shareholders would receive the agreed cash consideration.

Is there any further upside left in BRZE shares?

At $45.31, Braze shares already sit a little under CRM’s buyout price of $47.5, representing about a 4.8% potential upside before taxes and trading costs.

That is a considerably narrower opportunity than the headline rally suggests.

Importantly, the spread is a total potential return, rather than an annualized yield. Its attractiveness depends on the eventual closing date, while delays would tie up investors’ capital for longer.

Plus, the downside also deserves attention. Monday’s $30.04 closing price provides a reference for where BRZE traded before the Salesforce announcement.

And while it doesn’t predict its value if the deal collapses, returning to that level would imply 33% downside from current levels.

In short, investing in Braze Inc today would mean you’re accepting potentially “substantial” losses in exchange for a relatively modest remaining gain.

A takeover changes the investment case

The most useful distinction now is between buying a growing software firm and buying a pending cash payout.

If the acquisition proceeds on its announced terms, strong sales or successful product launches will not automatically increase shareholders’ consideration above $47.50.

A higher competing offer could change that equation, but that’s just speculation at this point – not a foundation of an investment thesis.

Existing holders face a separate decision: selling BRZE stock now secures most of the announced takeover value, while waiting preserves the remaining spread and exposure to closing uncertainty.

And for new investors seeking substantial long-term appreciation, the easy money appears to have been made already.
