Three key challenges facing Tesla-SpaceX merger

A potential SpaceX–Tesla merger could bring Elon Musk’s ambitions in artificial intelligence (AI), robotics, energy and transportation under one roof.

But former Tesla director Steve Westly sees three substantial obstacles between “strategic appeal” and a “completed transaction”: valuation, regulatory approval and Tesla’s China business.

Speaking this morning on CNBC, Westly predicted the companies will move rather quickly toward a combination.

Both have formed special committees to explore a deal, although Musk has cautioned that a merger isn’t certain.

And for investors, the terms of the potential merger could matter just as much as the industrial logic.

Why valuation is a key hurdle for Tesla-SpaceX merger

Westly sees a clear rationale: billionaire Elon Musk wants to combine “SpaceX’s AI compute with Tesla’s cars, energy, robotics.”

Turning that vision into an exchange ratio, however, presents a harder task.

Shareholders would need to assess how much each business contributes today and how much credit to give technologies whose commercial potential remains uncertain.

An overly generous valuation for either company could transfer substantial value away from the other’s investors.

In short, the investment question extends beyond whether the businesses fit together. It is whether the ownership shareholders receive adequate compensation for what they contribute.

Even attractive synergies can become an “expensive proposition” when the purchase price already assumes successful execution.

Westly’s enthusiasm therefore leaves a crucial question unanswered – how much should investors pay upfront for benefits that still need to materialize?

How the SEC might react to the SpaceX-Tesla deal

Steve Westly explicitly named SEC approval among the hurdles. His broader concern points to a transaction in which Musk’s interests overlap across both sides of the negotiating table.

The special committees will need to demonstrate that their decisions reflect shareholders’ interests.

Reuters reported on October 22nd that Elon Musk’s public endorsement had unsettled some people involved in the discussions, with concerns that his comments could invite additional scrutiny and delay the process.

For investors, the distinction between enthusiasm and an “independently” negotiated agreement is consequential.

They’ll need clear disclosure of financial assumptions, potential conflicts, and how the committees assessed alternatives.

Westly’s reference to SEC approval should also be read carefully: securities review would not, by itself, resolve every regulatory or governance issue surrounding a combination.

Tesla China further complicates a potential merger

“How are they going to deal with Tesla China?” Westly asked, highlighting a challenge that extends beyond negotiating a fair price.

Tesla’s manufacturing operations in Shanghai would sit alongside SpaceX’s sensitive US defense activities in a combined group.

Reuters reported earlier today that national security concerns, alongside questions over data and technology sharing, could complicate scrutiny on both sides of the Pacific.

Potential responses include separating operations or establishing protective barriers, although such arrangements would need to satisfy the relevant authorities.

For shareholders, any required restructuring could change the economics of the Tesla-SpaceX merger.

Restrictions might reduce operational flexibility, while separating assets could weaken some expected benefits.

That makes China more than a potential delay.

The measures needed to secure approval could reshape the business investors ultimately own – and determine whether the combination delivers the value its supporters envisage.
