FP Markets UK Affiliate Files for Strike-Off With Just £1…

FP Markets Services Limited, a UK-registered company linked to the international forex and CFD brokerage group, has entered the formal voluntary strike-off process after Companies House published a first Gazette notice on October 27, 2026.The notice follows the resignation of a director on October 13 and the company’s October 20 application to be removed from the UK register. Its latest financial statements also show a small operation, with £1 in net assets, no reported annual profit and an average of two employees during 2025.The proposed dissolution applies specifically to FP Markets Services Limited, company number 11707645. The filings do not indicate that FP Markets’ wider international brokerage operations are closing, that trading licences elsewhere are being surrendered or that customer accounts need to be transferred.

What Does the October 27 Gazette Notice Mean?

The corporate changes occurred in a short sequence. Henrietta Charlotte Allison’s appointment as a director ended on October 13. FP Markets Services Limited submitted a DS01 voluntary strike-off application on October 20, and Companies House published the first Gazette notice seven days later.

The process differs from a compulsory strike-off initiated by Companies House or an insolvency proceeding. A DS01 filing is an application by a company to remove itself voluntarily from the register, subject to eligibility requirements and an opportunity for creditors and other interested parties to object.

If the procedure continues without an objection or withdrawal, Companies House can remove the business from the register after the notice period. A subsequent Gazette notice would confirm the dissolution. Until then, FP Markets Services Limited continues to exist as a registered UK company.

The entity was incorporated on December 3, 2018, and is registered at Bank Chambers, Canterbury Road, Lyminge, Kent. Its stated business activity is management consultancy other than financial management, rather than regulated forex or CFD dealing.

Craig McKinlay Allison remains listed as a director. Emma Merilyn Arkenau, another former director, left the company in February 2026.

Investor Takeaway

The Gazette notice begins a corporate dissolution process for one small UK service entity. It is not evidence that FP Markets is shutting its global brokerage business or withdrawing from its regulated trading markets.

How Small Was the UK Company?

The company’s latest accounts, filed on September 25 and covering the year ended December 31, 2025, help explain the limited scale of the entity.

FP Markets Services Limited reported net assets of £1, unchanged from 2024, and no profit for the year. Cash at bank increased to £23,995 from £20,689, while current liabilities stood at £23,994.

Trade creditors accounted for £20,911 of those liabilities. Average employment fell to two people from three a year earlier, while payroll costs declined approximately 27% to £139,939 from £191,763.

The accounts were prepared under small-company provisions and were unaudited. Turnover was not separately disclosed, meaning the statements do not provide enough information to calculate the entity’s revenue or establish precisely which services it supplied to other FP Markets businesses.

The £1 net asset figure should also not be read as a measure of the wider brokerage group’s financial position. It represents the accounting difference between this entity’s recorded assets and liabilities and does not describe FP Markets’ customer assets, trading volume or financial resources in other jurisdictions.

Why Does the Legal-Entity Distinction Matter?

M K Murphie Holdings Pty Limited, an Australian company registered in New South Wales, remains the person with significant control over FP Markets Services Limited, with ownership of at least 75% of its shares.

That corporate connection links the UK company to the wider FP Markets structure but does not make the entities legally interchangeable.

FP Markets operates internationally through multiple regulated companies. FinanceFeeds recently reported that FP Markets added a UAE Category 5 licence for promotion and client introductions, while the group also identifies regulated operations across jurisdictions including Australia, Seychelles, South Africa and Kenya.

The permission granted to FP Markets MENA Securities covers specified marketing and introduction activities rather than automatically giving that company every dealing and execution permission available elsewhere in the group.

FP Markets has also joined the Financial Commission for independent dispute-resolution coverage, another arrangement connected to the broader brokerage operation rather than FP Markets Services Limited’s UK consultancy registration.

Investor Takeaway

The UK entity’s dissolution should be assessed at company level. Customer implications would require evidence that FP Markets Services Limited actually holds trading clients, regulated permissions or obligations being transferred elsewhere.

What Happens Next?

The October 27 first Gazette notice creates a period during which creditors and other eligible interested parties can challenge the proposed removal.

If no obstacle emerges and the application remains in place, the company can ultimately be dissolved and a final Gazette notice published. Until that happens, the company remains legally registered.

The available filings do not disclose why FP Markets decided to close the entity. The small balance sheet, zero reported profit and two-person workforce indicate that it was not a substantial standalone brokerage operation, but those figures alone do not establish management’s reason for the decision.

For FP Markets clients, the more consequential question would be whether the group announces any related change to the regulated entity servicing their accounts. No such change is evident from the UK strike-off filings themselves.
